企业管理与公司治理客观上存在着三个边界划分:时间边界、概念边界以及规模边界。管理与治理孰轻孰重,依赖于企业发展阶段以及公司规模大小。在企业发展的初级阶段或公司规模比较小的时候,强化管理能迅速提高企业绩效,而在公司规模比较大的阶段强化治理能对企业绩效产生显著效益。"管理拐点"所对应的产量即为治理的起点,而"治理拐点"所对应的产量即为治理最优规模结构,也是子公司进一步分离的起点。

There exist three border definitions between business management and corporate governance in fact:time border,concept border and scale border.Which is more important,business management or corporate governance? It depends on the development stage of an enterprise and the scale of a corporate.On the initiative stage or at the time when an enterprise is smaller,it quickly improves the enterprise's performance to strengthen management,while it brings about the remarkable benefits to strengthen governance.The output corresponding with the management turning point is the starting point of corporate governance,and that corresponding with the governance turning point is the optimum scale structure which is the starting point where the sub-company is further departed.As an enterprise's institutional system,there exists a problem on how to distinguish management from governance in concept and also one on how to make them go together reasonably in use.
