次级债权制度与现行法律的融合

On Syncretizing Subordinated Debt System with the Current Law

与发达国家相比,我国的次级债权制度还存在很多不完善的地方,与现行法律制度挂钩起来也存在诸多障碍。通过分析我国次级债权制度的产生与发展,讨论了次级债权法律效力的发挥和制度保障,指出与现行法律融合过程中的矛盾之处,并给出了相应的立法建议。

Compared with developed countries, there are still many deficiencies in Chinese subordinated debf system and there are many obstacles in linking up with the current legal system. Through the analysis of the subordinated debt and its development, the legal effect of subordinated debt and protection of legal system are discussed to indicate the conflicts existing in process of syncretizing with the current law, and the corresponding legislative proposals are given.
