本文通过对现代公司制度演进历程的考察,将公司治理问题的产生根源归于公司革命的负面影响。并提出,公司治理是对公司制度的治理,是不断演进中的公司制度的自我保障机制。基于此,本文认为,公司治理具有动态性、发展性和防御性,并对目前几个颇有争议的观点进行了新思考。

The discussion about the concept and connotation of corporate governance are always a front edge research of corporate governance field. In this article, we will review the evolution of modern corporate institution, classify.the problem of corporate governance as the blight of corporate revolution, and then a new concept arose —— corporate governance is the governance of the corporate institution; the self security system of the evolving corporate institution. Based on this view, it was thought that corporate governance has the characters of dynamic, expansibility, and defensive. The acquaintanceship about these characters makes a contribution to correct and unify many argumentations in corporate governance theory.
