Asset Companies Attached to University:Organizational Form and Related Legal Issues

高校资产公司是一种特殊类型的公司形态,在组织形式上表现为一人公司。一人公司的独立人格和有限责任制保证了高校资产与高校资产公司资产的分离,阻隔了高校与公司之间的法律风险。但一人公司本身的特点,也决定了高校仍有可能为高校资产公司承担连带责任。因此,在组建和运营高校资产公司时,应当保证高校资产与公司资产的分离以及人员、机构的独立。

The asset company attached to university is special organizational form in business, in which there is only a juridical person. Such feature makes it possible to separate the assets of company to those of the university, lowering the risk of the university, but such only-juridical-person company does not get rid of the responsibility of the university. Therefore, at the beginning of setting up an asset company, the university should consider the related legal issues and make sure that they are really separated.
