我国现代企业中董事会制度建设的探讨

Modern institutional construction of the board of directors for China's enterprises

从董事会制度的相关概念入手,基于资本主义发展的时间序列及其制度自身发展,对董事会制度及其制度产生的历程进行梳理。且对该制度的发展状况及其外部结构、内部结构、国家立法、经济效益进行了分析。通过我国及国外公司董事会制度的比较,结合现阶段我国公司的实际情况,探讨其存在的问题及应对方法。

Starting with the related concepts of the institution of the board of directors, we present the contents, generation and development of the institution. Also, we analyze the external structure, internal structure, national legislation and economic efficiency of the system. Finally, we compare the current system in China with that abroad, point out the problems in China＇s board system, and find out the solutions to the problems.
