上市公司治理机制中的障碍因素及改进策略

The Barrier and Countermeasures of Corporate Governance in Listed Companies

公司治理问题关系到我国企业能否成功地进行经营结构调整和进行机制转型,是影响我国企业进一步改革和提高竞争力的深层次问题。本文从改进公司治理机制面临的复杂性的角度出发探讨了影响我国上市公司治理调控机制发挥的各项障碍因素,并且针对其不足提出了若干改进对策与建议。

Corporate governance is becoming an important and deeply concerned problem in the operation structural adjustment, mechanism transformation, and the development of socialist marketing economy in China. This paper defines the concept of corporate governance and analyzes the basic framework of corporate governance. Then it discusses some barriers facing with the Chinese listed companies, and presents some countermeasures.
