摘要
认为兼并收购与战略重组是建设大型煤炭集团的必由之路。介绍了神华集团近年来的实践,提出煤炭企业兼并收购和战略重组应注意的6个问题:战略重组要符合企业的核心战略、要形成优势互补、要实施有效的内部管控、要加强与政府的沟通、要构建重组企业的企业文化、要加快实施"走出去"战略。
This paper holds that merging,purchasing and strategic regrouping is an inevitably necessary way to set up a large-sized coal group.This paper also introduces the practice of Shenhua Group over the recent years in this regard and presents 6 major issues that should be given due attention in the course of coal company merging,purchasing and regrouping.These include: the strategic regrouping should be in the core interest of the company's strategy;the strategic regrouping should facilitate the complimentary advantages among the companies concerned;it is necessary to implement effective internal management and control;it is necessary to intensify and improve the communications with the government;it is necessary to formulate an appropriate corporate culture of the new company and it is necessary to quicken the pace of the strategy of participating in the international competition.
