摘要
双边投资条约是调整国际投资关系的重要国际法手段,特许协议则是国际投资领域常用的一种投资模式。双边投资条约由国际公法调整,对条约义务的违背是一国的国际不法行为,将引起该国的国家责任;而特许协议则接受东道国国内法的调整,对特许协议的违反通常被认为应承担合同法下的违约责任。本文通过对解决投资争端国际中心(ICSID)近年来审理的三个案例及相关材料的分析,揭示了二者在争议解决条款上存在的冲突,并就这种现象产生的原因进行了探讨。在此基础上就如何解决这种冲突以便利国际投资争端的解决提出了自己的看法。
Bilateral Investment Treaty (BIT) is a crucially important tool used to regulate international investment relationship, while Concession Contract is a way extensively adopted in the field of international investment. BIT is governed by international public law, the breach of the obligation Under which entails the international responsibility of that State. While Concession Contract is regulated by internal law of the Host State, the non-implementation of the obligation under which is normally regarded a kind of breach subject to contract law. Through the analysis with three awards issued by ICSID (/ntemational Center for the Settlement of Investment Dispute) and relevant materials relating to these three cases ,this paper discloses the conflict and tension between compromissory clauses contained in BIT and Concession Contract. This paper makes a research on the cause of the conflict and tension afterwards. Suggestions is put forward by the author in order to eliminate theconflict and tension.
