我国上市公司委托代理问题与代理绩效研究

Study on the Entrusting-Deputizing Problem and Efficiency of China's Listed Companies

特殊的经济、制度、历史背景造就我国上市公司的委托代理问题有别于西方发达国家。在经营者与委托人代理问题严重的同时,控股股东利用控制权正在侵害着中小股的利益。本文对这种现状的原因进行了分析,并为提高代理效率提出了相关建议。

The entrusting-deputizing problem in the China＇s listed companies is different from that in western countries just because of special economy, system and history background. The large shareholders are using the control right to hurt the common shareholds when the conflict is serious between managers and shareholds. The essay, from different aspects, analyses the factors of current situation. And some suggestions are put forward in the last part for elevating the efficiency of agency.
