摘要
本文分析了国有企业员工参与公司治理的理论依据,比较评价了世界各国员工参与公司治理的方式和途径,在此基础上,构建了我国国有企业员工参与公司治理的模式,即职工持股下的员工共决制。
This article analyzed the theoretical basis of employee of state-owned enterprise participating in corporate governance. At the same time, this paper compared and appraised ways and approaches of employee participating in corporate governance of different countries all over the world. And based on these, this article constructed the pattern of employee participating in corporate governance in China-the unanimous decision-making pattern-a pattern based on employee share holding.
