司法解散公司制度下替代性救济措施浅析

On the Alternative Remedy Measures in the System of Judicial Dissolution of a Company

新《公司法》第183条明确规定了法院可判令公司解散,这是我国第一次以法律形式规定司法解散公司制度。但应看到,该规定仍过于概括,尤其是替代性救济措施的缺失,在某些情况下可能造成对少数股东的不公平损害。故应在借鉴国外立法经验的同时结合我国实际,发展出一套司法解散公司制度下的替代性救济措施。

The 183rd article of the newly amended Company Act stipulates that a law court is empowered to rule the dissolution of a company, which is the first time that judicial dissolution of a company is ordained in a law. Whereas, the stipulation is general and the lack of alternative remedy measures may bring detriment to a small part of business partners unfairly and under certain circumstances. Therefore, a set of alternative remedy measures based on the system of judicial dissolution of a company should be devised by referring to the practice abroad and the status auo in China.
