股东代表诉讼中的诉权滥用及其法律规制

On the Abusing of the Shareholders’ Representative Action and its Legal Regulation

我国在2006年1月1日实施了新的《公司法》,新《公司法》首次设立了股东代表诉讼制度,这对于保护中小股东利益,完善公司法人治理结构具有重要意义。但从实践来看,股东代表诉讼制度存在着一定的弊端,诉权滥用即是其中之一。我们应当借鉴美、日相关制度,从法律上对我国股东代表诉讼中的诉权滥用加以规制。

The new company law was carried out in China on January 1, 2006. Although it is established for the first time, it is very important to protect the small stockholders rights and perfect the managing structure of the corporation. In fact, the ＂Share Holders＇ Representative Action System＂ is not so perfect, and one of the defects is the fight＇s abusing. We should perfect the system from the legal regulation combing with the system that used in the United States and Japan.
