摘要
本文从独立董事制度的有效性和具体机制两方面入手,对我国现有独立董事的研究文献进行了梳理。首先是独立董事的有效性研究,指出目前理论界对独立董事制度所持的不同观点,并通过实证研究评述,进一步说明我国独立董事制度的有待研究之处;其次是对独立董事的具体机制----独立董事与监事会关系、独立董事在董事中的比重、独立董事选聘机制和激励机制等四个方面的研究状况进行了评述。
We conduct research on the effectiveness and the specific mechanism of the independent director system and sort out the domestic current research documents on the independent director system. In the study of the effectiveness of the independent director system, we point out the different views on the independent director system held by the theorists. Subsequently, we analyze the further research that is to be worth doing by the means of empirical research comments. In the second part of the article, we conduct comments on the specific mechanism for the independent director system -- the relationship between independent directors and the board of supervisors, the proportion of independent directors in the board, the selection and incentive mechanism of independent director system.
