摘要
目前我国监事会职权的行使存在很多障碍,主要包括监事会监督权的边界不清晰、监事独立性不明确以及公司监事之间利益协调机制缺失等三个方面,这些障碍严重地阻碍了监事会的功能实现。为了克服监事会职权行使的障碍,必须从制度上进行相应的变革,主要包括明晰监事会的监督权边界、完善监事会的组成制度、建立监事的独立监督权制度、完善监事会的内部管理制度以及明确监事的个人责任等。
Navadays the board of corporation supervisors exerts the supervision power,there are many barriers mainly including:the borderline of supervision power is unclear;the independence degree of supervisors is not definite;the mechanism to harmonize the interest relationship among supervisors is still in lack.These barriers make serious effects on exerting the function of the board of supervisors.In order to get over the barriers in the course of supervision,the effective constitution must be provided.The main related strategies are discussed in this paper:making the supervision authorities much more clear;reforming the constituent of the board of supervisors;offering the supervisors personal supervision authorities;setting up the internal government system for the board of supervisors;putting personal responsibilities on supervisors.
