摘要
文章分析了各国公司法人治理结构的立法模式:英美模式、德国模式和日本模式的特点和利弊,提出我国公司法人治理结构存在的问题,指出应借鉴各国公司治理的经验,完善我国的公司法人治理规范与制度。
This paper analyzed the legislation mode of legal representative management structure in foreign companies： British ＆ American mode, German mode and Japanese mode. And then the problems of legal representative management structure in China＇s companies are presented. It is essential to draw lessons from foreign companies＇ experience and perfect legislation of company legal representative management in China.
