建立系统性公司治理模式-以企业社会责任理论为指导

Systematically Establish Corporate Governance:Based on the Theory of Corporate Social Responsibility

一国既定的宏观政治经济模式与该国微观制度路径依赖的演进,是建立公司治理模式的现实基础,它决定着公司治理模式的本土特色;而企业社会责任理论则是建立公司治理模式的理论基础与实践指导,它代表了国际上方兴未艾的发展趋势。根据目前现实的具体制度环境与世界未来发展的普遍趋势,我国应建立由公司三类利益相关者共同参与的多层次、全方位、立体式的系统性公司治理模式。

The existing political-economic development model of China, influencing macro-environment, the development of structure-driven, rule-driven and culture-driven path dependence of Chinese characteristics, and the prevailing theory ＆ practice of corporate social responsibility in the developed countries, are three fundamental factors influencing China＇s establishing corporate governance model. Accordingly, this paper argues that the corporate governance model of China should be an all-round and multiple-level system operated by three kinds of stakeholders with the aim to improve China＇s national competition ability in the world.
