从"自营或为他人经营"的含义问题,"与其所任职公司同类的营业"的含义问题、董事竞业禁止的时间和地域问题以及董事竞业禁止的方式问题界定董事是否违反了竞业禁止,并提出由监事会在例外情况下作为批准董事竞业机关。

This article studies how to define the obligation of non-competition of directors from the following aspects： “self-operating or for others”, the meaning of “the similar business with their companies”, “the time and beotraphy issues” and “the manner issues” The author proposes the board of supervisors approve directors＇ competition operation under exceptional circumstances.
