股东表决权个别代理是股东表决权代理人,以股东本人的名义,向公司作意思表示或受领意思表示,代理效果归属股东本人的代理。股东表决权个别代理人向公司递交授权委托书,参加股东大会,从而代表股东行使表决权。股东表决权个别代理分为一般表决权代理和表决权征集两种。二者在制度理念、适用范围、法律效力与责任归属等方面有较大区别。

The individual proxy of the voting rights of stockholders is the agent, who in the name of shareholders, gives the idea to the corporation or receive the idea from the corporation, in which proxy effect belongs to shareholders. The agent of the individual proxy of the voting rights of stockholders submits the letter of authority to corporation and participates in the shareholders＇ meeting, thus exercises the right of voting. The individual proxy of the voting rights of stockholders is divided into two kinds： general proxy of voting rights and proxy solicitation of trust letter. The two individual proxies have great differences in systematic idea, applicable scope, legal effect and responsibility and so on.
