摘要
企业的并购整合对企业发展有着重要意义,企业通过并购整合可以取得规模经济效益,降低进入新行业的壁垒,也可以扩大市场份额和提高管理效率。我国企业在并购整合中主要存在缺乏明确的整合战略和整合能力、企业资金链断裂从而陷入流动性风险等问题。我国企业可以采取调整企业的经营战略、保持企业资产与负债的内部协调、稳定企业的人力资源和提高企业的凝聚力等可行的整合措施。
The merger of enterprises is of great significance for the development of enterprises. Through the merger and acquisition, enterprises can achieve the benefit of scale economics and remove the barriers of access to a new trade. Furthermore, they can enlarge market share and raise management efficiency. In the merger and acquisition of China enterprises, the strategy and ability of integration are less-developed, also the break of funds can plunge the enterprise into liquidity risk. The feasible measures of integration for China's enterprises are presented: to adjust the operating strategy, to maintain the internal coordination of assets and liabilities, and to stabilize the human resources and enhance the cohesion of enterprises.
