In China, the state owned enterprise is faced with the historical change, which is the change of modern enterprise system. As the main force of national economy, the state owned enterprises in China run into the unprecedented challenge. Some special problems of the state owned enterprise in the sysetm change are discussed and some suggestions are put forward.
