摘要
现行的美国上市公司治理制度是近百年历史演进的结果,其间主要经历了5次重要的制度变革。本文回顾了5次制度变革及其发生的历史背景,着重从利益集团冲突的角度分析了每次变革发生的原因,揭示出美国的上市公司治理制度不仅是美国上市公司各利益相关者博弈的产物,而且受到了美国特定的意识形态、政治文化以及法治环境的深刻影响。
The present corporate governance system for the U.S listed companies is the result of hundreds of years of evolution. Five important system innovations have ever occurred in its development history. The paper recalled these five innovations and their historical backgrounds, analyzed the underlying reasons from the angle of conflict interest groups and revealed that the corporate governance system for the U.S listed companies was not only the byproducts of the games among the related interests groups but also was greatly influenced by the particular ideology, political culture and law environment in the United States.
