摘要
公司僵局是公司特别是有限责任公司人合性的丧失,它给公司、股东、员工、公司债权人及社会带来了巨大的危害,为了支持司法对公司僵局的介入,英美法系及大陆法系的学者们提出了许多理论来予以论证,各国学者所提出的诸多相关理论特别是关系合同理论、期待利益落空理论、股东间的信托义务理论、公司社会责任理论及救济先于权利理论,对我国公司治理理论及司法实践具有重要的借鉴意义。
The corporate deadlock is the loss of the human gathering nature of the corporate especially in the limited corporate, which bring the large injury to the corporate, the shareholders, the workers, the creditors and the society. The scholars of some countries have thought out lots of theory to support the judicial intervention to the corporate deadlock such as the relationship contract, the failure of the expectant benefits, fiduciary duty of the shareholders, the social duty of the corporate, the remedies precedence rights. These theory has great significance in the theory of the corporate administration and the judicial practice.
