摘要 公司法现代化的根本目标,在於创建一套适宜於特定社会的公司制度。公司制度最终由一系列规则构成,公司法现代化最终要表现为规则的变动与选择,即用一种规则体系代替另外一种规则体系,或者增加某个规则体系。在这里.我们必须面对三个基本追问:什麽是适宜的公司法?规则的替代或者选择的路径是什麽?这些适宜的公司法规则到底该如何展开?2005年《公司法》的颁布,只是中国公司法运动的开端,远非终结。这三个追问,将一直是中国公司法法理论研究的核心课题。在此,我们将简单讨论这三个问题.试图从相对宏观的视角建立起一个有关公司法现代化的理论框架.并审视中国公司法法制实践中的某些问题。 The essential direction of the modernization of company law aims at establishing a set of company system which is suitable for a certain society. The company system is eventually constituted by a series of rules and the final embodiment of the modernization of company law will be changes and choices of rules, i.e. to use a set of rules to replace another set of rules or append certain set of rules. Here, we must face three fundamental questions: first, what is appropriate company law? Second, what is the approach for the replacement and choice of rules? Third, how does the appropriate company law rules to be carried out? The promulgation of the Company Law of People's Republic of China in 2005 is just a beginning of the Chinese company law movement, far from termination. These three questions as above-mentioned will always be the theme topics for the research of Chinese company law. Here in this dissertation, we will briefly discuss these three questions, trying to establish a theoretical framework for the modemization of the company law from a relatively macro perspective and reviewing some of the problems occurred in the ju- dicial practice of Chinese company law.
