试析公司董事刑事责任的完善

Studies on Making an Improvement on the Board Director's Criminal Liability of a Company

目前中国有关董事刑事责任的规定很不完善,尤其是缺乏各种轻罪规定,不利于规范约束董事的行为。因此,应该在《刑法典》修订时或者《公司法》修订时增加这方面的规定。

At present the provision pertaining to criminal liability of a company director is not perfect, lacking in various minor offences provision, and go against control and prescription for the board director＇s behavior. Therefore, it is necessary for us to add the provision of this aspect when Company Law or Criminal Law will be revised.
