摘要我们研究了企业并购的技术跨越机会研究,以及基于技术跨越并购的技术扩散效应分析和企业并购实现技术跨越的技术能力发展等问题。我们认为,一些技术先进国家的企业由于经营困境或者经营战略目标调整使得技术后进国家的企业获得许多机会和技术窗口,进入障碍较少时,可以通过并购直接进入并取得技术跨越发展。我们要充分利用技术先进国家的企业由于上述原因而带来的技术跨越的机遇,讨论了为技术跨越而从事并购应注意的几个问题。 We have investigated issues such as technological leapfrogging opportunity along with M＆A, as well as technological diffusion effect based on technological leapfrogging M＆A, and technological competence development in finns. We have reckon that due to the operation difficulties or adjusting of operation strategic target which existing in the companies located in advanced technology country, corporate in technology lagged countries received a large number of opportunities and technological windows. In the case of low entrance barrier they can come into and achieve technological leapfrogging development via M＆A, We should take full advantage of technological leapfrogging opportunity brought by corporate from advanced technology countries for above - mentioned reasons. Lastly we have discussed some questions in M＆A.
