在天津市北水业有限公司49%股权转让项目运作过程中,将经营到期的资产处置问题作为一个关键点进行了认真研究。在全面掌握国家政策和调研分析国内同行业做法的基础上,提出了一种全新的做法,即在经营到期后,将原有供水区域内的全部资产无偿移交政府或政府指定机构,对于投资商在经营期间的投入给予合理补偿。此种做法兼顾了特许经营有关要求和合营公司未来的发展,得到了政府部门的认可和投资商的响应,为供水合营项目到期的资产处置提供了一种可资借鉴的途径。

During the operation of transferring 49% of the stock right of Tianjin Shibei Water Supply Co. Ltd., the issue of assets disposal after the expiry of operation period was carefully studied as a key point. On the basis of comprehensively grasping the Chinese policies and surveying and analyzing methods used in Chinese water industry, a brand-new method was put forward. This method is that after the expiry of operation period, all the assets within the water supply region will be handed free of charge over to the government or institutions designated by the government. As to the investment during the operation period, the government will give reasonable compensation to investors. This method gives attention both to relevant requirements on franchise and the future development of the joint-venturo company, and obtains recognition from governmental departments and support from investors, thus providing a way that may be used in the assets disposal of the joint-venture water supply project after the expiry of operation period.
