表见代理制度旨在协调社会交易动态的安全与本人权益静态的安全。在我国,确立表见代理制度应坚持合理划分无权代理行为给本人与善意第三人所带来的风险,最大限度地平衡双方利益的价值取向,摈弃"单一要件说",将本人主观上存在过错作为表见代理的要件之一。同时赋予善意第三人选择义务人的权利。

＂Agency by estoppel＂ is an important part of agency system institution and is the product of the prosperity of commodity economy. ＂Agency by estoppel＂ maintains the good order of transactions,protects the interest of third party and reasonable distributes the risk. Through discusses the concept, value, the legislation in different countries as well as components of agency by estoppel respectively,this article analyzes the agency by estoppel, and consequently puts forward some suggestions on advancing the Chinese legislation institution.
