论公司董事、监事、高级管理人员的勤勉义务

On Corporate Directors,Supervisors and Top Management's Duty of Diligence

2005年新修订的《公司法》第148条规定:"董事、监事、高级管理人员应当遵守法律、行政法规和公司章程,对公司负有忠实义务和勤勉义务。"但关于勤勉义务的含义、内容与衡量标准、违反勤勉义务之责任等问题并未做出明确的具体说明,这就使得该规定在司法实践中缺乏可操作性。文章拟针对以上问题作初步的探讨,希望对公司法的不断完善尽一些义务。

The Article 148 of new-revised company law in 2005 prescribes： Directors, supervisors and top management should obey laws, administrative rules and corporation regulations, and shoulder duty of loyalty and diligence to the corporate, however the company law proposed neither about the definite meanings of duty of diligence, nor about the standards and legal responsibility,which made the Article 148 hard to operate in the judicial practice. This essay discusses the above-mentioned problems and hopes to be useful to the study of company law.
