Research on the Structure of Corporate Governance

分析了公司治理结构的科学涵义,指出了当前我国公司治理现状及存在的主要问题,并从我国国情出发,从公司的政治结构管理与经济结构管理、股权结构、建设公司治理的组织机构及其制度基础、约束与激励机制等方面,寻求公司的治理结构基元和变元,提出进一步完善我国公司治理结构的对策。

This paper analyzes the scientific connotation of the corporate governance structure and the status quo and current problems in corporate governance of our country. Based on the fundamental realities of China, the corporate politic and economic structure management, the ownership structure, and the construction of the corporate governance organizing institution, system foundation, obligation and incentive mechanism, the paper tries to find the governance structure unit and argument, and proposes the countermeasures for protecting the corporate governance structure of China.
