The opinion insisting on the necessary connection between legal person and independent liability is questioned when we examine the connotation and characteristics of the legal person. By making a comparison between the legal person systems in history and at present and conducting an analysis of the elements of legal person＇s personality, this article proves that there is no necessary connection between legal person and independent liability.
