Having elaborated basic theory of civil society, this article analyses and appraises civil theory of Hegel＇s and Max＇s, emphasizes the construction of Chinese civil society which will be helpful for democracy construction and accelerates speed of harmonious society, points out that civil law is the legal foundation of founding the Chinese civil society, emphasizes the role of civil law in founding Chinese civil society.
