On The Conflict and Coordination Between System of Independent Director and Board of Supervisors

自中国新《公司法》正式确立了独立董事的法律地位之后,在中国现有二元模式公司治理结构下的公司内部监督机制就出现了独立董事与监事会两种监督机构并存的局面,在二者发挥监督职能的过程中不可避免地会发生一些冲突,而要使独立董事与监事会既发挥各自的监督作用,又不至于发生冲突,应努力协调独立董事与监事会之间的关系。

Since the legal status of the Independent director is established by new company law, so under the company＇s dual pattern government structure now in our country, the internal surveillance mechanism of company appears a situation that the independent director and the board of supervisors become coexistent. The conflicts are inevitable when they display their surveillance functions. If we want the independent director and the board of supervisors both display their function and dont conflict, we must devote to reconcile the relation between them.
