我国目前不应当引入美国式的有限责任公司

美国式的有限责任公司是一种介于公司与非公司间的特别经营组织,在美国只有短暂的发展历史。这种公司形式与我国的有限责任公司相比,具有很大的差异性。也正因为如此,贸然引入此种特别的经营组织可能会冲击我国现有的有限责任公司,也会对我国现有公司制度产生不利的影响。

A limited liability company in the United States is a special business organization with a short history and it is a hybrid of a company, sole proprietorship and a partnership. This type of LLC is very much different from a limited liability company in China. For this reason, the sudden adoption of American LLC would adversely affect our existing limited liability company and further affect our existing company system.
