本文运用现实统计数据全面分析江苏与上海地区的第三产业比重和就业人口比重，分析了两个地区之间第三产业发展速度不一的主客观原因，对第三产业的内容结构进行了分析比较。

The paper analyse in an all-round way the development of Jiangsu’s and Shanghai’s tertiary industry through the comparative study of production structure and labourforce structure. It finds out the reason why the developmental rate of tertiary indu stry is different inthe two districts.The paper also makes a comparison of tertiary industry’s internal structure of the two dis-tricts and tenders advices for development of Jiangsu’s tertiary industry.
