基于现代公司治理的企业家经营占有制模式

Mode of Entrepreneur Management Occupant-system Based on Modern Corporate Governance

本文重点探讨信息经济时代现代企业的公司治理模式问题。通过对现代企业治理目的这个基本问题进行分析,提出现代企业的公司治理应该符合企业法人财产利益最大化原则。在此原则上确认企业家经营占有制是企业控制权的最优配置,并设计了“企业家保证金账户”模式将人力资本转化为可抵押的物质资本的方式激励与约束企业家行为,使其行为符合法人财产最大化原则。

This paper discusses about modern corporate governance mode in information era.Through analyzing the purpose of modern corporate governance,we point out that maximizing corporate property is the principle for modern corporate governance.Based on this principle,we affirm that entrepreneur management occupant-system is the optimal disposition for corporate control rights,and design the＂entrepreneur margin account＂ mode,which can transform human capital into mortgaged material capital,so as to incentive and constraint entrepreneur＇s behaviors,and make it accord with the maximization principle.
