论间接代理——兼评我国《合同法》第402、403条

On Indirect Representative——with Discussions on Articles 402 and 403 in China's Contract Law

我国《合同法》吸收了英美法隐名代理和被代理人身份不公开的代理的"合理内核",规定了第402、403条即间接代理,在一定程度上弥补了以往我国外贸代理法律制度的缺失。但是,自《合同法》颁布以来,学界和实务界对间接代理的评价莫衷一是。该文从间接代理制度本身和立法动机分析入手,进而指出间接代理制度虽然有其制度的合理性,但其缺陷也是显而易见的。

＂The China＇ s Contract Law＂ has absorbed the reasonable core of the representative system with a provision that Articles 402 and 403 are both the indirect representatives. It has made up the loss of China＇ s Deputy Foreign Trade Legal System to some extent. Since the promulgation of China＇ s Contract Law, the academic and the practical fields have different opinions about the indirect representative. After an analysis of the system of the indirect representative and the motivation of legislation, the paper gives a discussion of the advantages and disadvantages of the system of the indirect representative.
