IT Integration Strategy Selection in M&A and Its Activities Framework

积极管理IT整合过程可以有效促进企业并购的实现。在分析企业并购中的IT整合目标与挑战的基础上,认为IT整合的过程应该与并购的过程相融合,由此提出IT整合的步骤框架,并对与并购战略相匹配的IT整合策略选择这一步骤进行了重点分析。引入运营方式的概念,解释四种不同并购战略下的IT需求,提出了如何实现IT整合策略与并购战略的匹配策略。

Effective IT integration plays an important role to facilitate the accomplishment of M＆A. After the analysis of objectives and challenges of IT integration in M＆A, the author found the activities of IT integration should be blended within the process of M＆A. Based on this understanding, the paper presents an activities framework of IT integration in M＆A to guild the steps of IT integration practices in M＆A. The second step of this framework---selecting aligned IT integration strategy with M＆A strategy---was further studied in this paper. The concept ＂operating model＂ was employed to illustrate the different IT integration requirements of main M＆A strategies, and then we developed the aligned model that matched five IT integration strategies with four M＆A strategies, which provides a theoretical guideline for IT integration strategy selection in M＆A.
