摘要
《公司法》对职工的法律地位界定不清,职工参与权规定不具体,《劳动合同法》的颁布使职工地位边缘化。文章针对以上问题进行实证调研、分析,提出了公司法应在总则将职工列为保护对象、对公司社会责任的规定应当具体、建立职工董事制度公司并购、关注职工权益增加职工持股、进入清算组的规定、提高职工地位等建议。
The Company Law gives an unclear definition on employee' s position and stipulates no specific about the fight of participating in the management of company. At the same time, the Labor Contract Law promulgates and marginalizes the employees of company. Through studying and analyzing such problems, try to give some legislation suggestions on protecting employees in the general rules of Company Law, stipulate the social responsibility of company, build the system of employee's director, protect employee's right when taken over, build employee stock ownership plan and the liquidation team shall include employee .To protect employee' s fight.
