工程建设是一个公认的风险行业,业主往往通过合同条款尽可能将风险转移给承包商。然而,风险分配过于不平衡对于业主来说也未必有利,因为这会使得承包商放弃投标或做出过高的报价。讨论风险分配的原则和程序,并分析FIDIC红皮书与银皮书的风险分配,其中FIDIC红皮书以其相对公平而闻名,而银皮书中承包商承担几乎所有的风险。
Engineering project construction is acknowledged to be a high-risk industry in which all participants shall take risks. The allocation of risks between different participants is usually realized through contractual conditions. In this paper, the procedure and basic principles for risk allocation are discussed and as examples, the allocation of risks in the FIDIC Red Book and Silver Book is analyzed.
