摘要
公司经理权指的是公司经理在法律、章程或契约所规定的范围内辅助执行公司业务所需要的一切权利。公司经理权具有概括性、法定性和不可限定性,包括管理权能与代理权能。我国法律对公司经理权应采多层次立法模式,明确规定公司经理的代理权,并加强对公司经理权的限制。
The right of a corporate manager covers all the rights enjoyed by a manager in conducting his business within tne scope of law, regulations or contracts. The manager＇s right is considered inclusive, legal and unrestricted like the managing and acting rights. As for the system, our law should adopt a multi-level mode of legislation to define the acting right of a manager and impose certain limits to his right.
