摘要
购并后整合管理是购并研究的前沿领域。本文通过对国内外文献的评述,梳理了金融经济学派、战略管理学派、组织行为学派和过程观点学派等相关文献,从复杂性和知识基础这一新的视角出发,基于"信息空间"理论构建了购并后整合的复杂学习框架,这一框架不仅根据编码、抽象和扩散三个维度勾勒出购并后整合的多样化的知识分布类型,而且将购并双方的多层面的整合学习过程联系起来,系统全面地认识了购并后整合的复杂机理。本文的框架和相关结论是对购并后整合综合性研究的有益拓展和补充。
The Management of post - merger integration occupies a forward position in the field of Merger and Acquisitions (M&As) . Through a general review and analysis of academic literatures home and abroad, such as perspectives provided by theoreticians in fields of financial economy, strategic management and process school, this paper tries to construct a complex learning framework based on the theory of "cyber space" . And we try to study from a new perspective of the combination of complexity theory and knowledge basis. From three dimensions of coding, abstraction and diffusion, this framework does not only try to outline a diversified knowledge distribution of post -merger integration, but also try to include the muti - level integrating learning process of both sides. Furthermore, to understand more thoroughly about the complex mechanism of knowledge learning and transfer in the process of post - merger integration, we try to put forward some proper countermeasures. The framework and some relative conclusions provided by this paper .may be a beneficial expanding and a useful complement to the comprehensive researching of post - merger integration.
