完善公司监事会制度之思考

On Improving Supervisors Committee System of National Corporation

2006年实施的《公司法》,对监事会制度作出了重要规定,但还有待进一步完善。文章从规范监事的任职资格、确保公司监事会的独立性、强化公司监事会的职权、明确监事的责任和义务、厘清与独立董事的关系等五个方面提出思考和建议。

2006 Law of Corporation has made some important regulations concerning the system of Board of supervisors.But there is still some room for improvement.In this paper,five suggestions are put forward including post qualifications,ensuring the independence of Board of supervisors,strengthening its duty,making clear supervisors＇ responsibilities and obligations,and clarifying its relationship with the independent dirrctors.
