上市公司是股票市场发展的基石,因此,完善上市公司治理结构就是建立现代企业制度、提高上市公司质量的核心。完善我国上市公司治理结构应遵循因地制宜和与股权结构相适应的原则,制定符合我国国情的上市公司治理原则;真正实现政企分开,进一步明确上市公司国有股控制权;完善董事会结构,加强董事会对管理层的监督;完善经理人员的激励机制;提高股票市场的效率,在规范的基础上发展股票市场。

The listed company is the footstone of the development of stock market, so completing the corporate governance is the core of establishing the modern enterprise system and increasing the quality of the listed company. Completing the corporate governance of our country＇s listed company should follow the principles of formulating measures according the local situation and fitting in with its equity structure, and enact the governance principles of the listed company correspon- dent with our country＇s conditions, and realize the separation between the government and the enterprises genuinely and further crystallize the domination right of the state-owned share of the listed company, and consummate the structure of directory and enhancing its supervision on the management stratum, and perfect the bestirring system to the managers, and raise the efficiency of stock market and develop the stock market canonically.
