摘要
新合伙企业法虽然有很大的进步,但亦暴露出若干问题。笔者以理论分析为基础,建议完善买出制度、派生诉讼中的相关制度,并要区分退伙时的解散和终止概念。
Though there is much advancement in the new partnership law, it also has many shortcomings. Based on the theoretical analysis, the writer suggests that we should improve the buyout system, the relevant system in the derivative lawsuit and distinguish between the concepts of dissolution and termination at ending .
