企业社会责任外部促进机制的法学与经济学研究

摘要 根据玛丽斯—曼妮假设,就算公司内部治理机制未能发挥作用的时候,企业管理者也不会在执行职务时过分滥用其权力,因为公司控制权交易市场(即外部治理机制)会治理这些不称职的企业管理者。从表面上说,公司外部治理机制原理,可以被借用到构建企业社会责任市场促进机制上。然而,不同市场之间具有独立性和不同利益相关者的利益之间具有冲突性。如果不加修正地把公司外部治理机制原理借用到企业社会责任市场机制上,将无助于促进企业履行社会责任。市场偶尔出现缺陷,这需要政府的干预、社会的监督和法律的规范。 In accordance with Marris -Manne Hypothesis, even when the internal corporate governance does not work, corporate managers still will not misuse his power. It is because the market for corporate control (external corporate governance mechanism) can discipline the irresponsible managers. Simply, the basic principle of external corporate governance mechanism may be applied to develop the market mechanism for the promotion of corporate social responsibilities. However, due to markets independent from each other and conflicts of interests between stakeholders, the application of the principle without tune will not foster the corporate social responsibilities. Also, markets always have deficiencies. It needs government intervention, society monitoring and legislation.
