完善我国证券法,要科学界定外资收购信息披露的主体,明确界定"一致行动人"的范围,披露的信息应具有真实性、全面性、及时性;完善上市公司强制要约收购规则,防止外资并购损害中小股东权益;完善部分要约收购制度,确立反收购的基本原则,明确规定反收购的决定权。
