The author, by analyzing incomplete encouragement system for managers in state owned enterprises, necessity for the reform, and effectiveness of actualizing stock option system, discusses related measures for the reform for encouragement system to construct effective market for managers from the four aspects： consummating laws and regulations, consummating capital market, consummating inspection and management organizations and intermediary organizations, and consummating management structure for managers in enterprises in the West.
