Thinking of the Equity Transfer in Foreign-invested Enterprises

本文从现行法律规范出发,结合实践问题,分析了外商投资企业投资者股权转让特殊性以及外资企业所涉及的国有股转让等问题,以兹对我国外商投资企业投资者股权转让规则的完善提供些许裨益。

There are different policies and legal regulations in China between foreign -invested enterprises and domestic enterprises. The special rules of ＂previsions of the equity transfer in Foreign - invested enterprises＂ apply to the Foreign - invested enterprises. As a civil trade, the equity transfer of the investors needs to comply with the civil rules and the special requirements on the management of foreign investment. Based on the common legal rules and the practice, this article gives an analysis of the characteristics of the equity transfer in foreign - invested enterprises. It is hoped that it will shed insights onto the improvement of the rules of equity transfer in foreign - invested enterprises.
