摘要
运用产业组织和核心能力理论,在比较了中西方企业并购战略的逻辑与动机的基础上,得出中国企业并购战略中缺乏核心能力的导向思维,并对这种基于核心能力扩张视角的并购战略模式进行了解构,最后探讨了该模式的两种典型实现路径及其机理,对超越产业边界的企业并购提供了一种方法。
Using the theory of industry organization and core competence, this paper compares the M&A strategy logic and motivation of western corporations with Chinese corporations, and draws a conclusion of the lack of core competence - oriented thinking in China. On deconstructing the strategy mode, this paper analyzes two typical routines of the mode realization and its mechanism, and provides a method of corporate mergers and acquisitions beyond the border of industry.
