摘要
董事会作为公司的最高战略决策机关,战略信息传递的有效与否对其能否形成科学战略决策至关重要。本文认为,在缺乏有效的资本市场信号支持的条件下,应从公司内部构建有效的战略信息传递机制,以保障董事会战略决策的科学性。论文分析了从一线员工、职能部门、最高管理层直至董事会的战略信息传递路径与信息传递中的两难困境;进而指出,为有效解决信息传递中的两难困境,应构建以科学决策而不是权力制衡为核心的董事会与管理层关系的新模式。
As the common apex of corporate strategic decision systems, the transfer efficiency of strategic information has important impact on the strategic decision of board of directors. This paper insisted that in the deficiency of efficient capital market, strategic information transfer mechanism should be designed from inside. We analyzed the transferring route from corporate staff to board of directors. We find that corporate department has confronted with a dilemma in the information reporting to board of directors and suggests the new relationship between board of directors and managers should aim at scientific decision rather than power restriction.
